The Role
The Associate Counsel role for LifeRTC is a generalist in-house role with a wide range of responsibilities: contracting, regulatory compliance support under the Advisers Act and 1940 Investment Company Act, among others, corporate governance, and international coordination. The workload is varied and driven by business priorities. The attorney must be comfortable shifting between subject areas and taking on unfamiliar issues to develop expertise.
Your Responsibilities:
- Contracting
- Review and negotiate investment management agreements, NDAs, releases, consulting and other professional services agreements, technology agreements (both SaaS licenses and vendor agreements), and trading agreements
- Identify risks and escalate as necessary
- Maintain templates and contract process discipline
- Regulatory support
- Assist as needed with Advisers Act, Investment Company Act, or other applicable regulation obligations, such as rule analysis, review of materials, or otherwise
- Support registered fund matters (prospectus reviews, board materials, etc.)
- Assist with policies, procedure, filings, and regulatory exams
- Corporate governance
- Support board and or committee preparations, which may include recordkeeping
- Global support
- Coordinate with Milliman's offices in the UK and Australia on similar responsibilities
- Take on legal workstreams outside core expertise as business demands require
Job Knowledge, Experience Skills
Job Knowledge Required:
- Juris Doctor required, admitted in at least one U.S. jurisdiction
- 3-6 years of legal experience (law firm or in-house)
- An ideal candidate must have significant experience in at least one of the following areas:
- Registered funds (mutual funds, ETFs)
- Derivatives (options, futures, or swaps)
- Professional/advisory services (e.g., M&A advisory, investment banking, consulting)
Experience and Soft Skills Required:
- Experience in a regulated or financial services environment
- Adaptability and composure under shifting priorities
- Strong judgment and escalation instincts
- Clear, concise writing
- Ownership mentality and willingness to take the initiative
Additional Knowledge and Skills to Build:
- Sharp critical thinking skills, sound judgment and decision-making ability, and both the ability and willingness to clearly articulate your ideas
- Expansion of subject matter expertise across registered funds, derivatives, and professional/advisory services, as listed above in the job knowledge section.
Location
Candidates hired into this role will be required to work in-person in the Milliman office in Chicago, IL on a weekly basis, but flexible work arrangements will be considered.

Compensation
The overall salary range for this role is $120,635 - $199,065. A combination of factors will be considered, including, but not limited to, education, relevant work experience, qualifications, skills, certifications, etc.
